ARTICLE I:
Name: The name of the organization shall be PANHANDLE BOWHUNTERS & ARCHERY ASSOCIATION.
Goals and Purpose: The goals and purposes of this organization are to: foster, expand, and perpetuate the art and practice of traditional and modern bowhunting; encourage the privileges of bow hunters; cooperate with the Federal, State, local governments, sportsmen and conservation organizations; conduct a continuous education program designed to acquaint the public with the bow and its uses as a practical and humane weapon suitable, under proper regulations, for the hunting of game animals, birds and certain varieties of fish.
ARTICLE II:
Boundaries of the Association: The headquarters of the PANHANDLE BOWHUNTERS & ARCHERY ASSOCIATION shall be located in Escambia County, Florida.
ARTICLE III:
Membership:
Section 1. Membership shall be granted to anyone upon: (1) age 18, (2) application and payment of annual dues, (3) approval by majority of Board of Directors.
Section 2. Voting shall be limited to persons 18 years of age or older who are regular members in good standing (either individual or family membership).
Section 3. A member may be expelled and forfeit all dues for conduct deemed to be detrimental to the interests or goals of the Association by a two-thirds vote of the Board of Directors.
ARTICLE IV:
Officers:
Section 1. The officers of the Association shall consist of President, Vice-President, Secretary, and Treasurer to be elected by majority vote of the membership present at the annual meeting. The term of office shall be from the end of the annual meeting at which the officers are elected through the next annual meeting. To be eligible to hold office, a candidate must be and have been a voting member of the Association for one year.
Section 2. In addition to the officers, there will be a Board of Directors which will consist of a minimum of eight and a maximum of twelve members. They will run the day to day operation of the Association, approve new members, all expenditures, and will appoint committees and committee members. They are also responsible for the effective functioning of all officers and committees. A Board of Director can be replaced by majority vote of the Board of Directors at any special meeting.
Section 3. The duties of the officers shall be as follows:
President: As chief administrator of the Association, the President presides over Association meetings and Board of Directors meetings; represents and acts in the name of the Association; reviews all financial records for accuracy; performs other related duties as may be necessary for the carrying out of the business of the Association.
Vice-President: The Vice-President assists and acts in the absence of the President; assumes the office of the President in the event that the President is unable or fails to fulfill his duties; performs other duties that may be assigned by the Board of Directors and/or President.
Secretary: The Secretary shall be responsible for seeing to it that the minutes of all meetings are kept and presented for acceptance at the next meeting; keep up-to-date rolls of members, proposed new members, and members currently under suspension; maintain Association files; record and incorporate into the constitution any amendments; maintain a record of current by-laws; presides over meetings in the absence of President and Vice-President.
Treasurer: As administrator of all Association funds, the Treasurer's duties will include, but are not limited to the certification of payment of membership dues and assessments; recording and reporting to the membership at each meeting all receipts, disbursements, cash balance, and outstanding obligations; issuing membership cards; presiding over meetings in the absence of President, Vice-President and Secretary.
Section 4. Replacement of officers. The presiding officer may request that two-thirds majority of the voting members present at any official meeting declare an office vacant and schedule a new election to be held at the following meeting.
ARTICLE V:
Meetings:
Section 1. The annual meeting of the Association will be held in March, at a time and place designated by the Board of Directors.
Section 2. Regular meetings shall be held where and as often as desired by the Board of Directors. However, in no case shall meetings be held less frequently than every 90 days.
Section 3. The President may call special meetings if a majority of the Board of Directors are given at least 48 hours notice.
ARTICLE VI:
Dues:
Section 1. The amount of the annual membership dues for the coming year shall be decided by the Board of Directors. To insure financial integrity of the Association and to fulfill the requirement of this charter, we must require each member to pay dues in the amount set by the Board of Directors, which must be uniform for all members.
Section 2. An assessment may be levied on each membership when approved by two-thirds of the voting members present at any regular or annual meeting following the meeting in which the assessment is read in final form. An assessment may not exceed 50% of the annual membership dues.
Section 3. All funds raised from dues, entry fees, assessments, donations or money-making activities shall pass into the general treasury of the Association.
Section 4. The Association's memberships and fiscal year will run from March first through the end of February.
ARTICLE VII:
Use of the Association Name: No one shall act in the name of the PANHANDLE BOWHUNTERS & ARCHERY ASSOCIATION without the approval of the Board of Directors.
ARTICLE VIII:
By-Laws: Although this constitution is intended to be the controlling document for the administration of the Association, it may be supplemented by by-laws as adopted by the Board of Directors. The enactment and repeal of by-laws will be by a majority vote of the Board of Directors present at any regular, special or annual meeting.
ARTICLE IX:
Amendments: This constitution may be amended by a two-thirds vote of the Board of Directors.
